Terms of Use for GeoCardly

These Terms of Use (“Terms”) govern your access to and use of the GeoCardly mobile application and related services (the “App” or “Service”) provided by GeoCard LLC (“GeoCardly”, “we”, “us”, or “our”).
By installing, accessing, or using the App, you agree to be bound by these Terms. If you do not agree, you must not use the App. These Terms are an agreement between you and GeoCard LLC. If you download the App through the Apple App Store, Apple is a third‑party beneficiary of these Terms and may enforce them against you.
You should read these Terms together with our Privacy Policy, which explains how we collect and use your personal data.

1. Eligibility
You may use the App only if:

You are at least 13 years old (or a higher age if required by your local law), and

You have the legal capacity to enter into a binding contract.
The App is not intended for children under 13. If we learn that we have collected personal information from a child under this age, we will take steps to delete it.
By using the App, you represent and warrant that (a) you are not located in a country or territory subject to applicable U.S. or other relevant sanctions/embargoes, and (b) you are not listed on any government list of prohibited or restricted parties.

2. Description of the Service
GeoCardly is a mobile application that helps you:

Save and manage places
-
Indicate which payment cards you own in the form of internal card type identifiers

Receive suggestions about which of your cards may be best to use at a particular merchant or category, based on rewards or benefits
To provide these features, the App may use:

Location services on your device
-
Third‑party services for maps, analytics, and card‑related recommendations
We may update, modify, or discontinue any part of the App at any time, with or without notice, as long as such changes comply with applicable law.

3. No Financial Advice
The recommendations and information provided by the App are for informational and convenience purposes only. They:

Do not constitute financial, legal, tax, or investment advice

Do not take into account your full financial situation or risk profile

May not always reflect the latest terms, fees, or restrictions of your card issuers or card programs
You are solely responsible for:

Reviewing the terms and conditions of your cards

Confirming eligibility for rewards or benefits
-
Deciding which card to use in any given transaction
GeoCardly is not responsible for any denied rewards, missed benefits, fees, or other outcomes of your card usage.

4. Your Account and Security​
4.1 Account Registration
To use some features, you may need to create an account or sign in (for example, using Sign in with Apple). You agree to provide accurate and up‑to‑date information and to keep it updated. Accounts registered by bots or any other automated methods are not permitted.

4.2 Account Responsibility
You are responsible for:

Maintaining the confidentiality of your login credentials

Any activity that occurs under your account
If you believe your account has been compromised, you should notify us promptly at support@geocard.info and, where applicable, secure your device and account.

5. License and Intellectual Property​
5.1 License Grant
Subject to these Terms, GeoCardly grants you a limited, non‑exclusive, non‑transferable, revocable license to:

Download and install the App on a device you own or control

Use the App solely for your personal, non‑commercial use
All rights not expressly granted to you are reserved by GeoCardly and its licensors. All rights and licenses granted to you under these Terms terminate immediately if your access to the App is terminated or these Terms terminate.

Updates. We may release updates, bug fixes, or new versions of the App. You may need to download and install updates to continue using the App.
No access to source code. These Terms do not grant you any right to access or receive the App’s source code. All algorithms, techniques, and procedures embodied in the App and related documentation are owned by GeoCardly or its licensors.
5.2 Ownership
The App, including all software, code, graphics, user interfaces, trademarks, logos, and content, is owned by GeoCardly or its licensors and is protected by copyright, trademark, and other laws.
5.3 Third-Party Trademarks and Card Images
Credit card images, bank names, trademarks, logos, and related brand features displayed in the App are the property of their respective owners and are used for informational purposes only. GeoCardly is not affiliated with, endorsed by, or sponsored by any bank, card issuer, or payment network. Certain card images and related data may be provided by third-party services that represent they have the necessary rights to distribute such content.
6. Prohibited Activities and Reverse Engineering
You agree that you will not:

Copy, modify, adapt, translate, or create derivative works based on the App or any part of it

Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying ideas, algorithms, or operational mechanisms of the App, except to the extent that applicable law expressly permits such activities

Bypass, remove, or circumvent any security measures, paywalls, or access controls in the App
-
Use any automated system (such as bots or scrapers) to access the App in a way that sends more requests than a human could reasonably produce

Interfere with or disrupt the operation of the App or its servers
-
Use the App for any unlawful purpose or in violation of any applicable law or regulation
If applicable law gives you a right to reverse engineer for interoperability, we encourage you to contact us first and request the information you need so that reverse engineering is not required.
Enforcement. If we believe you have violated these Terms or applicable law, we may take appropriate measures to protect our legitimate interests, including: (a) restricting or suspending access to the App, (b) terminating your account, and/or (c) reporting suspected unlawful activity to relevant authorities, where appropriate.
7. User Content and License
7.1 User Content
“User Content” means any data or content you submit or store in the App, including:

Saved places and notes

Card type selections
-
Other information you choose to add
You are responsible for your User Content and for ensuring it does not violate applicable law or infringe any third‑party rights.
We do not have an obligation to monitor or moderate User Content. However, we may remove, delete, or block User Content, or restrict the account that uploaded it, without prior notice, where permitted by law, if we reasonably believe it violates these Terms, third‑party rights, or applicable law, or if we receive a notice or order requiring us to act (for example, an intellectual‑property complaint, a privacy/data‑protection complaint, or an order from a public authority), or if we believe the content may pose a risk to you, third parties, or the availability/security of the Service.
Removing, deleting, or blocking content does not entitle you (or anyone acting through your account) to compensation, damages, or reimbursement.
7.2 License to GeoCardly
To operate and improve the App, you grant GeoCardly a worldwide, non‑exclusive, royalty‑free license to:

Host, store, process, display, and reproduce your User Content

Use your User Content to provide you with the App’s features (such as card recommendations and place management)
This license is limited to operating and improving the App and does not give us ownership of your User Content.
7.3 Feedback
If you submit feedback, ideas, suggestions, or improvements about the App or Service (“Feedback”), you agree that GeoCardly may use, implement, and share such Feedback for any purpose, without restriction and without compensation to you. Feedback is not User Content and does not create any confidentiality obligation on GeoCardly unless we expressly agree otherwise in writing.

8. Third‑Party Services
The App may integrate with third‑party services (for example, maps, analytics, subscriptions, or card‑related recommendation services). These third parties operate independently from GeoCardly, and your use of them may be governed by their own terms and policies. We don’t control and are not responsible for third‑party services or external resources, including their content, availability, or practices. Card images and related brand features may be provided by third-party services; see Section 5.3 (Third-Party Trademarks and Card Images).
8.1 Apple App Store Additional Terms
If you downloaded the App from the Apple App Store, the following terms apply to you. In the event of a conflict between these Terms and any Apple terms or rules applicable to the App, Apple’s terms and rules will control with respect to your use of the App through Apple’s platforms.
a) Acknowledgement. These Terms are between you and GeoCard LLC, not Apple. Apple is not responsible for the App or its content.
b) Scope of License. The license granted to you is limited to a non-transferable license to use the App on any Apple-branded products that you own or control, and as permitted by the Apple Media Services Terms and Conditions and any applicable “Usage Rules.”

c) Maintenance and Support. GeoCard LLC is solely responsible for providing any maintenance and support for the App. Apple has no obligation to furnish any maintenance or support services with respect to the App.
d) Warranty. To the extent any warranty exists under applicable law that cannot be disclaimed, GeoCard LLC (not Apple) is solely responsible for such warranty.
e) Product Claims. GeoCard LLC (not Apple) is responsible for addressing any claims by you or any third party relating to the App or your possession and/or use of the App, including: (i) product liability claims; (ii) any claim that the App fails to conform to applicable legal or regulatory requirements; and (iii) claims arising under consumer protection, privacy, or similar laws.
f) Intellectual Property Rights. In the event of any third-party claim that the App or your possession and use of the App infringes that third party’s intellectual property rights, GeoCard LLC (not Apple) will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.
g) Legal Compliance. You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a “terrorist supporting” country, and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

9. Subscriptions, In‑App Purchases, and Billing
Some features of the App may be available only through:

In‑app purchases, or
-
Subscriptions managed by the app store where you downloaded the App (for example, the Apple App Store)
Any purchase or subscription you make is subject to the terms and conditions of the relevant app store, including their payment processing, billing, and refund policies.

If you subscribe through the Apple App Store, you do so using the Apple Account associated with your App Store account through the in‑app purchase flow. By subscribing, you acknowledge that:

payment will be charged to your Apple Account;
-
subscriptions automatically renew for the same duration unless you cancel at least 24 hours before the end of the current period;
-
renewal charges are billed within 24 hours before the end of the current period; and
-
you can manage or cancel subscriptions in your App Store account settings.

This App Store subscription section prevails over any conflicting provision in these Terms.
Free trials. If we offer a free trial through the Apple App Store, the trial is administered by Apple and will automatically convert to a paid subscription unless you cancel through your App Store account settings before the trial ends. Trial availability and duration (if any) are shown in the App Store purchase flow.
GeoCardly itself does not collect or store your full payment card numbers or CVV codes. Any billing disputes relating to App Store purchases must be handled through the app store, though you can contact us at support@geocard.info if you have questions.
9.1 Refunds and Cancellations (App Store)
All purchases, subscriptions, cancellations, and refunds made through the Apple App Store are processed by Apple and are governed by Apple’s terms and policies. GeoCardly cannot process refunds for App Store purchases. If you want to request a refund, you must do so through Apple. Any billing disputes relating to App Store purchases must be directed to Apple. We may, at our discretion, assist you in contacting Apple or providing information needed to support your request, but we do not control Apple’s refund decisions.

10. Termination
10.1 By You
You may stop using the App at any time. You can request deletion of your account and data as described in our Privacy Policy and in the “Account Deletion and Custom Places” section of that policy.
10.2 By GeoCardly
We may suspend or terminate your access to the App, with or without notice, if:
You violate these Terms
We are required to do so by law or by a court or authority
We decide to discontinue the App or a particular feature
Where permitted by law, we may also remove or restrict access to User Content that we reasonably believe violates these Terms or applicable law.
11. Disclaimers
To the maximum extent permitted by applicable law, you understand and agree that:

The App is provided on an “as is” and “as available” basis.

We do not guarantee that the App will be uninterrupted, error‑free, secure, or always accurate.

We do not guarantee the accuracy, completeness, or currentness of any card recommendation, merchant information, or other content displayed by the App.
-
Card terms, rewards, and benefits are determined by your card issuers and can change; you should always verify details with your issuer.
Nothing in these Terms is intended to exclude or limit any rights you may have as a consumer under mandatory law.
Location and merchant accuracy. The App relies on device location signals and third-party data (such as maps and merchant/category information). Location, distance, merchant identity, and category details may be inaccurate, incomplete, delayed, or unavailable. You are responsible for verifying merchant details and any purchase-related information before completing a transaction.

12. Limitation of Liability
To the maximum extent permitted by applicable law:

GeoCardly and its directors, employees, and affiliates will not be liable for any indirect, incidental, consequential, special, or punitive damages, or any loss of profits or revenues, arising out of or in connection with your use of the App.

Our total liability for any claim arising out of or relating to the App or these Terms will be limited to the amount you have paid for the App in the 12 months immediately preceding the event giving rise to the claim (if any), or a reasonable amount where applicable law does not allow such a limitation.
To the fullest extent permitted by law and without limiting mandatory consumer rights, you agree that GeoCardly will not be liable for damages except as described in these Terms. This limitation does not apply to liability that cannot be excluded under applicable law (for example, liability for death or personal injury caused by negligence, fraud, or willful misconduct), or for breaches of essential contractual obligations where required by law. Where liability cannot be excluded, it will be limited to typical and foreseeable damages.
Some jurisdictions do not allow certain exclusions or limitations of liability, so some of the above limitations may not apply to you. In such cases, our liability will be limited to the maximum extent allowed by law.

13. Indemnification
You agree to indemnify and hold harmless GeoCardly, its affiliates, and their respective directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to:

Your use of the App

Your violation of these Terms
-
Your violation of any applicable law or any third‑party rights
To the extent such indemnification is permitted by applicable law.

14. Changes to These Terms
We may update these Terms from time to time. When we do, we will update the “Last updated” date at the top of this page.
If we make material changes, we may notify you through the App or by other reasonable means. By continuing to use the App after the updated Terms become effective, you agree to be bound by the revised Terms.
If you do not agree to the updated Terms, you must stop using the App and may request deletion of your account.

15. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Texas without regard to its conflict of law rules. However, regardless of the above, if the law of the country where you are located provides higher applicable consumer protection standards, those standards shall prevail.
If you are a consumer in the EU/EEA or UK, you may also benefit from mandatory consumer protection rules of your country of residence, and these Terms do not limit any such rights.
Any dispute arising out of or in connection with these Terms or your use of the App that cannot be resolved amicably may be brought before the competent courts of the State of Texas, unless mandatory law grants you the right to bring the dispute before the courts of your country of residence.
16. Common provisions
16.1 No Waiver
GeoCardly’s failure to assert any right or provision under these Terms shall not constitute a waiver of any such right or provision. No waiver shall be considered a further or continuing waiver of such term or any other term.
16.2 Service reselling
You may not reproduce, duplicate, copy, sell, resell or exploit any portion of the App or the Service without GeoCardly’s express prior written permission, granted either directly or through a legitimate reselling program.
16.3 Service interruption
To ensure the best possible service level, GeoCardly reserves the right to interrupt the Service for maintenance, system updates or any other changes, informing you appropriately.
Within the limits of law, GeoCardly may also decide to suspend or discontinue the Service altogether. If the Service is discontinued, GeoCardly will cooperate with you to enable you to withdraw personal data or information and will respect your rights relating to continued product use and/or compensation, as provided for by applicable law.
Additionally, the Service might not be available due to reasons outside GeoCardly’s reasonable control, such as “force majeure” events (for example, infrastructure failures, network outages, or blackouts).
16.4 Severability
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
16.5 Assignment
You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets, or as otherwise permitted by law.
16.6 Electronic Communications
By using the App, you consent to receive communications from us electronically, such as through the App, by email, or by posting notices within the App. You agree that all agreements, notices, disclosures, and other communications that we provide electronically satisfy any legal requirement that such communications be in writing, to the extent permitted by applicable law.
